    Terms of Service

    1. Introduction and Acceptance of Terms

    Welcome to Digiseats.com ("Digiseats," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Digiseats website, mobile applications, digital seating chart tools, QR code generation services, and any related software or content provided by us (collectively, the "Services").

    By accessing, browsing, registering for, or using our Services, you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree to these Terms, you must not access or use the Services.

    2. Description of Services

    Digiseats provides a digital event management platform that allows users to create, manage, and distribute digital seating charts and guest lists. The core functionality includes, but is not limited to:

    • Seating Chart Creation: Tools to design table layouts and assign guests to specific seats or tables.
    • QR Code Generation: Creation of unique QR codes that, when scanned, direct event guests to a mobile-optimized view of their seating assignment.
    • Guest Management: Interfaces for uploading, editing, and managing guest lists, including dietary restrictions and RSVP statuses.
    • Event Interfaces: Public-facing or private web pages where guests can search for their names and find their assigned seats.

    We offer different tiers of service, including "Standard" and "Extended" packages, which may have varying limits on guest counts, features, and support levels as described on our pricing page. We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time without notice.

    3. Account Registration and Security

    To access certain features of the Services, such as creating an event or saving a seating chart, you must register for an account ("Account").

    • Eligibility: You must be at least 18 years old to create an Account. By registering, you represent and warrant that you meet this age requirement.
    • Account Information: You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
    • Security: You are responsible for safeguarding your password and login credentials. You agree not to disclose your password to any third party and to take sole responsibility for any activities or actions under your Account, whether or not you have authorized such activities. You must immediately notify Digiseats of any unauthorized use of your Account.
    • One User, One Account: Accounts are intended for individual or organizational use. Sharing login credentials with multiple individuals to circumvent seat limits or pricing tiers is strictly prohibited.

    4. User Content and Guest Data

    In the course of using Digiseats, you may upload, post, or store content, including but not limited to guest names, table names, event dates, venue layouts, and other text or images ("User Content").

    • Ownership: You retain full ownership of your User Content. We do not claim ownership rights over the data you upload.
    • License to Digiseats: By uploading User Content, you grant Digiseats a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, and display such User Content solely for the purpose of providing the Services to you and your guests.
    • Guest Privacy: You represent and warrant that you have obtained all necessary consents and permissions from your guests to upload their names and any other personal information to our platform. You are the "Data Controller" of your guest data, and Digiseats acts as the "Data Processor."

    Prohibited Content — You agree not to upload User Content that:

    • Is unlawful, threatening, abusive, harassing, defamatory, or libelous.
    • Contains private information of any third party without their consent.
    • Infringes on any patent, trademark, trade secret, copyright, or other proprietary right of any party.
    • Contains viruses, malware, or any other harmful code.

    5. Fees, Payments, and Refunds

    Digiseats offers both free and paid services.

    • Pricing: The fees for our "Standard," "Extended," and other paid packages are described on our website. Prices are subject to change, but any price changes will not affect events that have already been paid for.
    • Payment Terms: You agree to pay all fees associated with the package you select. Payments are processed through third-party payment processors. We do not store your full credit card information.
    • One-Time Events vs. Subscriptions: Most Digiseats packages are sold on a "per-event" basis. This grants you access to the Services for a specific event date plus a reasonable buffer period. If you purchase a subscription plan, it will automatically renew unless cancelled.

    Refund Policy

    • Per-Event Packages: Due to the digital nature of the product, we generally do not offer refunds once the QR code has been generated and the event link is live. However, if you experience a technical failure that prevents the Service from functioning during your event, you may request a refund within 3 days of the event date. Refund requests are evaluated on a case-by-case basis.
    • Subscriptions: You may cancel a subscription at any time. You will continue to have access until the end of your current billing period, but no prorated refunds will be issued for unused time.

    6. Acceptable Use Policy

    You agree to use the Services only for lawful purposes. You agree not to:

    • Use the Services to organize events that promote hate speech, violence, or illegal activities.
    • Attempt to reverse engineer, decompile, or disassemble any aspect of the Digiseats software.
    • Use any robot, spider, scraper, or other automated means to access the Services without our express written permission.
    • Interfere with or disrupt the integrity or performance of the Services or the data contained therein.
    • Sell, resell, rent, or lease the Services to a third party without a specific partnership agreement with Digiseats.
    • Overload our infrastructure by uploading an unreasonable amount of data or generating excessive traffic.

    7. Service Availability and Modifications

    We strive to maintain high availability of our Services. However, you acknowledge that:

    • No Guarantee: We do not guarantee that the Services will be uninterrupted, timely, secure, or error-free. Occasional downtime for maintenance or due to technical issues beyond our control may occur.
    • Backup Plans: We strongly recommend that you download a PDF or offline version of your seating chart as a backup for your event. We are not responsible for disruptions caused by lack of internet connectivity at your venue.
    • Modifications: We may update the features, user interface, or functionality of the Services at any time. We will make reasonable efforts to notify you of significant changes that may affect your active events.

    8. Intellectual Property Rights

    The Services, including but not limited to the Digiseats logo, visual design, software code, interactive features, and templates, are the exclusive property of Digiseats and its licensors. These are protected by copyright, trademark, and other intellectual property laws.

    • Limited License: We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your personal or internal business purposes strictly in accordance with these Terms.
    • Restrictions: You may not copy, modify, distribute, sell, or lease any part of our Services or included software.

    9. Third-Party Links and Integrations

    The Services may contain links to third-party websites or services that are not owned or controlled by Digiseats.

    We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites. You acknowledge and agree that Digiseats shall not be responsible or liable, directly or indirectly, for any damage or loss caused by or in connection with the use of any such content, goods, or services available on or through any such websites.

    10. Limitation of Liability

    To the maximum extent permitted by applicable law, in no event shall Digiseats, its affiliates, agents, directors, employees, suppliers, or licensors be liable for:

    • Any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses.
    • Any damage, loss, or injury resulting from hacking, tampering, or other unauthorized access or use of the Services.
    • Any errors, mistakes, or inaccuracies of content.
    • Any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Services by any third party.

    In no event shall Digiseats' total liability to you exceed the amount you paid to Digiseats during the twelve (12) months preceding the event giving rise to the liability, or $100.00 USD, whichever is greater.

    11. Indemnification

    You agree to defend, indemnify, and hold harmless Digiseats and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from:

    • Your use of and access to the Services.
    • Your violation of any term of these Terms.
    • Your violation of any third-party right, including without limitation any copyright, property, or privacy right.
    • Any claim that your User Content caused damage to a third party.

    12. Termination

    We may terminate or suspend your Account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including but not limited to a breach of the Terms.

    If you wish to terminate your Account, you may simply discontinue using the Services. Upon termination, your right to use the Services will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

    13. Governing Law and Dispute Resolution

    These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which Digiseats is primarily domiciled, without regard to its conflict of law provisions.

    Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by arbitration in said jurisdiction, using the English language. Judgment upon the award so rendered may be entered in a court having jurisdiction.

    14. Changes to Terms

    We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.
